股权结构对公司治理的影响研究

Abstract：With the Enron event, the perfect corporate governance has gradually become hot issues. Corporate governance involves many contents, but the ownership structure is the core issue of corporate governance. Influence of the ownership structure arrangement of listing Corporation governance structure and company resources to a large extent configuration, will ultimately affect the listing Corporation's financial position and operating results. In this paper, the angle of the ownership structure analysis based on corporate governance mechanism. In the content arrangement, this paper firstly based on ownership structure, corporate governance in China is analyzed. Secondly, on the basis of theoretical analysis, this study takes listing Corporation as an example, using regression analysis method, analysis of construction the ownership concentration degree of the impact of Corporate Governance: An Empirical model. The study found: moderate concentration of ownership corporate governance performance improvement.Keyword：listed companies; ownership structure; corporate governance

一、 绪论
（一） 研究背景
随着经济全球化以及经济自由化的进一步发展，公司治理问题导致的经营不善案件的增多，使公司治理逐渐成为当今研究热点问题。
公司治理机制不仅是关乎公司生存的重要因素，更是一个国家的金融体系稳定的保障。因此，国内外众多学者对公司治理方面的问题进行了深入与全面的探究，并取得了一定的研究成果，本文基于以往的理论研究和我国的现状发现股权结构是公司治理的核心。股权结构的差异性决定了公司治理模式的多样性。主要有：英美和日德等治理模式，而我国这种发展中的非完全市场经济，关于公司治理模式的研究较为分散。现有研究公司治理法律完善问题和公司财务治理问题的研究。本文主要是基于股权结构的角度对公司治理的影响方面进行研究。与国外的研究成果相比，我国现有关于公权结构与公司治理关系的研究缺乏系统性和深入性，尤其是关于股权结构对公司治理的影响机制没能深刻的揭示。
