摘  要：纵观经济历史的发展，可以发现上市公司已经成为我国国民经济中的坚实力量。但是由于内部控制体系不完善，使我国上市公司在激烈的全球经济竞争中处于不利地位。现在，如何使上市公司在竞争日常激烈的全球经济大背景下生存发展下去，已经成为各上市公司领导和国家政府关心的重点。本论文就是以天津37家上市公司为模版，先是阐述了天津上市公司内部控制的现状和内部控制上存在的问题，然后分析了致使这些问题出现的原因，最后，根据分析出来的原因对解决内部控制上存在的问题给出了自己的见解和方法。53972

Abstract: Throughout the history of economic development, can be found listed companies has become the name of our country’s economy strong force. However, due to the internal system is imperfect, so that China’s listed companies at o disadvantage in the fierce global economic competition. Now, how to make a listed company in the competitive global economy daily background survive and develop, has become the focus of the national leadership of the various listed companies and government concern. This thesis is to Tianjin 37 listed companies as a template, first presentation on the status of the existing internal control of listed companies in Tianjin and internal control issues, and then analyzes the reasons causing these problems, finally, according to the analysis out the reasons for the existence of internal control to solve the problem and give their views methods.

1  引言

1983年震惊于世界的麦克森-罗宾斯公司的舞弊案发生后，人们意识到了内部控制的重要性。内部控制是公司管理最重要的成分之一，如果内部控制管理不当，将会给企业带来很大的负面影响。
