摘要世界经济一体化，各国之间的联系日益增强，外资并购就在这样的背景下迅速发展，成为各国对外直接投资的主要方式。自中国加入WTO后，愈加多的外国投资者在中国进行投资，在促进中国经济发展的同时也对国家安全造成了不利影响，因此我国要重视对外资并购的审查，维护国家安全。58683

首先本文全面分析了德国和美国的并购安全审查制度，并将其内容进行对比，得出其优缺点，以期找到值得我国借鉴并可以将其用于实践的内容和需要避免的部分。其次对中国并购安全审查的现状和存在的问题进行研究。中国安全审查的法律框架基本成型，但尚未形成体系。最后，针对我国并购安全审查制度存在的不足，提出有效规定使安全审查制度更加完善。

Research on the national security review system in the foreign capital merger and acquisition 

Abstract

With the global economic integration, the links between countries strengthen day by day.Foreign mergers and acquisitions in such context developing rapidly,becoming the main form of foreign direct investment.Since China's accession to the WTO,more and more foreign investors invest in China, on the one hand,it promotes China's economic development.On the other hand,it also causes adverse effects on China’s national security at the same time.So our country should take more attention to foreign M & A review,to safeguard national security.

Firstly from all aspects of the comprehensive analysis of Germany and the United States mergers and acquisitions security review system and its content are compared and analyzed,come to their advantages and shortcomings,in order to find what worth our country to draw lessons from and can be used in practice and need to pay attention to avoid the sections.Secondly,the current situation and the existing problems of China's national security review system are studied,and the legal framework of China's foreign capital merger and acquisition security review is basically formed,but the legal system has not been formed.Finally,to solve these defects in the security review system of merger and acquisition,we should put forward the proposal to improve China's M &A security review system.
