摘要：特别法⼈人是《⺠民法总则》新规定的⼀一项制度创新。其中就特别法⼈人中的基层群众性⾃自治法⼈人采取统⼀一社区信⽤用代码证书制度是最⼤大的创新亮点。但这样的制度创新在⼟土地产 权主体界定、与⾏行行政主体混淆、管理理规范⽅方⾯面以及⽆无独⽴立财产对外承担责任⽅方⾯面存在问 题。就针对这些问题从明确⼟土地结构、设⽴立登记、违法追究等⽅方⾯面⼊入⼿手解决，使特别法⼈人 制度更更贴合中国的经济、社会、政治的发展。 关键词：⺠民法总则；特别法⼈人；创新；问题；对策

On the new regulations of the general principles of civil law

Abstract：The special legal person is a new system innovation in the general rules of civil law. Among them, it is the most innovative bright spot to adopt the unified community credit code certificate system among the grass-roots mass autonomous legal persons in special legal persons. However, such institutional innovation has problems in the definition of the subject of land property rights, confusion with the administrative subject, the management norms  and  the external liability of the non-independent property. In order to solve these problems, we should solve these problems from the aspects of clear land structure, registration  and  illegal investigation, so as to make the special legal person system more suitable for China's economic, social and political development.
